Empathic Mentoring, Coaching, Trainings, Paid For Programs & Courses

TERMS OF AGREEMENT

  1. Payment of the agreed upon fee becomes your statement of agreement, entering your credit card information, or otherwise enrolling, electronically, verbally, or otherwise, in mentoring, training, programs or a service, you ("Client") are entering into a legally binding agreement with Jennifer Elizabeth Moore of Modern Medicine Lady LLC ("Company"), according to the following terms and conditions:

  2. COMPANY'S SERVICES: The scope of services to be provided by Modern Medicine Lady LLC is as follows

    1. Upon execution of this Agreement, electronically, verbally, written or otherwise, the Company agrees to render services related to education, seminar, consulting, mentoring, training and/or intuitive coaching (the "Program"). The terms of this Agreement shall be binding for any further goods/services supplied by Company to Client. Parties agree that the Program is in the form of mentoring/coaching and education or an online service. The scope of services rendered by Company pursuant to this contract shall be solely limited to those contained therein and provided on Company's website as part of the Program or Online service on an online platform as agreed upon.

    2. Services may include Intuitive Guidance, EFT Training, Mentoring, Facilitating, Emotion Code and Spiritual Mentoring. Private programs include 1:1 sessions, homework, accountability emails, voxer access and instructional materials. Sessions may be recorded at the discretion of Modern Medicine Lady LLC. In addition, Modern Medicine Lady LLC shall suggest homework as appropriate. Modern Medicine Lady LLC shall be reasonably available for brief email, voxer and/or text message check-ins between sessions Monday-Friday unless otherwise specified. 

    3. CONFIDENTIALITY. The term "Confidential Information" shall mean information which is not generally known to the public relating to the Client's business or personal affairs. Company agrees not to disclose, reveal or make use of any Confidential Information learned through its transactions with Client, during discussion with Client, the coaching session with Company, or otherwise, without the written consent of Client. Company shall keep the Confidential Information of the Client in strictest confidence and shall use its best efforts to safeguard the Client's Confidential Information and to protect it against disclosure, misuse, espionage, loss and theft.

    4. Client understands that the information received during the Program varies by individual and there is no guaranteed or specific outcome that one might expect. 

    5. Client agrees that Modern Medicine Lady LLC’s services is not therapy, mental health care or any other kind of health care and Client agrees not to use Modern Medicine Lady LLC’s services as a substitute for therapy or health care. The services & content provided by Modern Medicine Lady LLC is not intended to diagnose, treat, cure, or prevent any physical, mental or emotional health condition. Modern Medicine Lady LLC accepts no responsibility or liability whatsoever for the use or misuse of the information shared during any session, class, workshop, video, written material and all other content, including, but not limited to, EFT demonstrations and related activities any information offered during a consultation, class, workshop, video, written material provided or any website content including links to other resources. Modern Medicine Lady LLC (and affiliates) have advised you and you have agreed that you will consult qualified health professionals as appropriate before making any physical, emotional or mental health decisions including your use of EFT/Tapping and/or trying any other techniques or suggestions. EFT remains “experimental” and therefore you agree to take complete responsibility for your use of it. 

    6. Client agrees to assume and accept full responsibility for any and all risks associated with any information received from any consultation, information or any other content Modern Medicine Lady LLC provides and using EFT as a result of working with Modern Medicine Lady LLC or viewing the website. Client understands and agrees that if they choose to use EFT, it is possible that emotional and/or physical sensations or additional unresolved memories or issues may surface which could be perceived as negative side effects. Physical or emotional material may continue to surface after using EFT thus indicating other issues may need to be addressed. Should client choose to use EFT, they understand it is their full responsibility to pursue any necessary professional medical help they need.

    7. Client accepts and agrees that she/he/they are 100% responsible for her/his/their progress and results from the Program. Client accepts and agrees that she/he/they are the one essential factor to their own success and that Company cannot control the Client. Company makes no representations or guarantees verbally or in writing regarding performance of this Agreement other than those specifically expressed herein. Company and its affiliates disclaim the implied warranties of titles, merchantability, and fitness for a particular purpose. Company makes no guarantee or warranty that the Program will meet Client's requirements or that all clients will achieve the same results.

  3. Client agrees to pay for the services of Modern Medicine Lady LLC as follows: 

    1. COMPENSATION. Client agrees to compensate the Company according to the payment agreed upon and in advance of the course, program or other service being initiated. 

    2. CARD UPDATES: The Client agrees that credit card information will be updated as necessary and will hereby waive the right of chargeback. 

    3. PAYMENT PLANS: Client agrees to compensate the Company according to the payment plan agreed upon in advance, then timely subsequent payments of the course, program or other service being initiated. Failure to adhere to payment plan, may result in loss of access to online course, program or service and no refunds will be given for the portion paid.  

    4. REFUNDS: Client shall be irrevocably obligated to pay the entire program fee (including any monthly payments required as they come due) to the Company, and no portion of the fee shall be refunded to Client under any circumstance. Upon execution of this Agreement, Client shall be responsible for the full extent of the Fee. If client cancels attendance of the Program or online service for any reason whatsoever, Client will receive no refund. Any Online Group support is given for the duration of the course or program, no refunds will be given for expired group access. 

    5. Client agrees that a minimum of 24 hour notice is necessary to reschedule any session. This must occur within the duration of their program. If client does not contact Modern Medicine Lady LLC 24 hours in advance the appointment is considered forfeited and additional payment must be made to replace any missed session.

  4. By using Company's services and enrolling in the Program or use of an Online service, Client releases Company, its officers, employers, directors, and related entities from any and all damages that may result from anything and everything. The Program is only the educational/coaching/mentoring service provided. Client accepts any and all risks, foreseeable or non-foreseeable, arising from such transactions. 

  5. Client and Modern Medicine Lady LLC agree to use their best efforts to achieve the desired result or goal and Client will advise within three (3) days after each session if Client believes the services were deficient; otherwise, Modern Medicine Lady LLC and Client agree that the session was productive and helpful in assisting Client to reach their stated goals. All claims against Company must be lodged with the entity having jurisdiction within 90 days of the date of the first claim or otherwise be forfeited forever. 

  6. Client agrees that Modern Medicine Lady LLC’s liability under this agreement is limited to the amount Client has paid to Coach. Regardless of the previous paragraphs, if Company is found to be liable, Company's liability to Client or to any third party is limited to the lesser of: (a) the total fees Client paid to Company in the one month prior to the action giving rise to the liability, and (b) $1000.

  7. Client agrees not to disparage  Modern Medicine Lady LLC or Coach’s services. Client shall defend, indemnify, and hold harmless the Company, the Company's shareholders, trustees, affiliates, and successors from and against any and all liabilities and expense whatsoever - including without limitation, claims, damages, judgments, awards, settlements, investigations, costs, attorneys fees, and disbursements - which any of them may incur or become obligated to pay arising out of or resulting from the offering for sale, the sale, and/or use of the product(s), excluding, however, any such expenses and liabilities which may result from a breach of this Agreement or sole negligence or willful misconduct by Company, or any of its affiliates or successors. Client shall defend Company in any legal actions, regulatory actions, or the like arising from or related to this Agreement. Company recognizes and agrees that all of the Company's affiliates and successors shall not be held personally responsible or liable for any actions or representations of the Company.

  8. Client agrees that they are given limited access to all content and materials for their own personal use in the program and will not not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Program (including course materials), use of the Program, or access to the Program or online service this agreement is non-transferrable or assignable without the Company's prior written consent. 

  9. NO RESALE OF SERVICES PERMITTED. Client agrees not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Program (including course materials), use of the Program, or access to the Program or online service. This agreement is non-transferrable or assignable without the Company's prior written consent.

  10. NO TRANSFER OF INTELLECTUAL PROPERTY COURSES OR PROGRAMS. Company's copyrighted and original materials shall be provided to the Client for his/her individual use only and a single-user license. Client shall not be authorized to use any of Company's intellectual property for Client's business or other purposes. Client shall not be authorized to share, copy, distribute, or otherwise disseminate any materials received from Company electronically or otherwise without the prior written consent of the Company. All intellectual property, including Company's copyrighted course materials, shall remain the sole property of the Company. No license to sell or distribute Company's materials is granted or implied.

  11. PROGRAM RULES. To the degree that Client interacts with Company staff and/or other Company clients, Client agrees to at all times behave professionally, courteously, and respectfully with staff and clients. Client agrees to abide by any Course Rules/Regulations presented by the Company. The failure to abide by course rules shall be cause for termination of this Agreement. In the event of such termination, Client shall not be entitled to recoup any amounts paid and shall remain responsible for all outstanding amounts of the Fee.

  12. USE OF COURSE MATERIALS (PROGRAMS & COURSES ONLY). Client consents to recordings being made of courses and the Program. Company reserves the right to use, at its sole discretion, course materials, videos and audio recordings of courses, and materials submitted by Client in the context of the course(s) and the Program for future lecture, teaching, and marketing materials, and further other goods/services provided by Company, without compensation to the Client. Client consents to its name, voice, and likeness being used by Company for future lecture, teaching, and marketing materials, and further other goods/services provided by Company, without compensation to the Client. Any Facebook or Other Online Group support is given for the lifetime of the course only.

  13. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from, including but not limited to; direct, indirect, incidental, special, negligent, consequential, or exemplary damages happening from the use or misuse of Company's services or enrollment in the Program. Client agrees that use of Company's services is at Client's own risk.

  14. DISCLAIMER OF GUARANTEE FOR ONLINE SERVICE. Company does not accept and agree to guarantee the success of an online service with the understanding that the company cannot control individuals and their habits online. Nor can the company guarantee functioning internet service providers. Client accepts and agrees that individuals online or offline are not the responsibility of the company. Company makes no representations or guarantees verbally or in writing regarding performance of this Agreement other than those specifically enumerated herein. Company and its affiliates disclaim the implied warranties of titles, merchantability, and fitness for a particular purpose. Company makes no guarantee or warranty that the service will meet Client's requirements or that all clients will achieve the same results as other clients. The company will endeavour to create the best results, to the best of their ability for the client, although results cannot be guaranteed.

  15. This Agreement is formed in the State of Maine. This Agreement shall be governed by the laws of the State of Maine and Client irrevocably consents to personal jurisdiction there and agrees that Cumberland County shall be the exclusive venue and jurisdiction for any and all disputes between Modern Medicine Lady LLC and Client. 

  16. In the event of a dispute filed in court, the prevailing party shall be entitled to recover from the non-prevailing party all of the attorney’s fees and costs incurred during the litigation. 

  17. Upon execution of paying the agreed fee, or emailing a statement of agreement, or signing below this document, the Parties agree that any individual, associate, and/or assign shall be bound by the terms of THIS AGREEMENT. A facsimile, electronic, or e-mailed executed copy or acceptance of this agreement with the same effect as an originally signed copy.

  18. This is the entire agreement between Modern Medicine Lady LLC and Client; it supersedes all other negotiations and discussions prior to the execution of this agreement. Client agrees that no other representations have been made by Modern Medicine Lady LLC to induce Client into entering into this agreement and no modification to the terms of this agreement shall be effective unless in writing signed by both parties.
